Lex Mores Tech Private Limited (the “Company”), an entity duly incorporated under the Companies Act, 2013, owns and operates the legal technology portal www.contractbazar.com (the “Platform”).

For this Policy, the use of terms like “we”, “us” and “ours” refers to the Company and the terms “you” and “your” refers to any natural or legal person who browses through the Platform or avails the Services. By accessing the Platform, you acknowledge that you have read and understood the terms provided under this Policy and agree to be bound by them. However, if you disagree, kindly exit the Platform immediately as your continued access shall be construed as an acceptance of this Policy.

1. CONFIDENTIAL INFORMATION

In order to avail services on the Platform, you will be required to provide certain information that may be Confidential or proprietary in nature such as commercial, technical or financial information, intellectual property, trade secrets, know-how, details of the customers, suppliers, debtors and creditors, information relating to shareholders, directors or employees, information pertaining to the documents to be drafted or reviewd hat may have commercial value for you or your business, whether or not the information has been designated as ”Confidential Inforamtion” or not.

2. EXCLUSIONS FROM CONFIDENTIAL INFORMATION

2.1. The following information shall not be deemed as confidential:

a) Information that is in the public domain for reasons other than the breach of this Agreement by us.

b) Information that was available to us on a non-confidential basis prior to any disclosure made by you.

c) Information that has been lawfully disclosed to us by a third party without an obligation of confidentiality.

d) Information that is independently developed by us without using your Confidential Information..

3. PERMITTED DISCLOSURES

3.1. We will limit the disclosure of Confidential Information disclosed by the you to our employees, officers, directors, agents, or any person employed by us on a "need to know" in order to render services to you.

3.2. We do not disclose your Confidential Information to any third person. However, there may be instances wherein you have made an enquiry regarding the Company’s services or availed services that requires third-party assistance. Under such circumstances, we will share your information with the appropriate person in order to resolve the query/issue or provide you with services available on the Platform, provided that we have your consent/ deemed consent with us to do so.

4. ENTIRE AGREEMENT

This Agreement constitutes the final understanding and exclusive Agreement between the Parties with respect to the subject matter herein. Any additional or different terms included in any other document or understanding between the Parties now or in future shall be subject to the terms and conditions of this Agreement.

5. SEVERABILITY

In the event that any provision in this Agreement is found to be invalid or unenforceable, the offending provision shall be severed from the rest of this Agreement and the Agreement shall continue to be enforceable and operate as originally written.

6. LIABILITY FOR UNAUTHORIZED DISCLOSURE

You are solely responsible any consequences, losses, or damages that we may directly or indirectly incur or suffer due to unauthorized disclosure of Confidential Information of third party by you, any unauthorized activities conducted by you and may attract in criminal or civil liability.
